THIS TERMS OF USE AGREEMENT (the “Agreement”) constitutes a legally binding agreement by and between Render Pro, a business entity organized under the laws of the state of Idaho (“Render Pro”) and the client, whether personally or on behalf of an entity (“Client”), with regard to access and use of Render Pro’s website: [Render Pro's website URL] (the “Website”) and any other media form, channel, mobile website, or mobile application related, linked, or otherwise connected thereto. Failure to agree and adhere to all of the terms, conditions, and obligations contained herein results in the express prohibition of the Client’s use of the Website, and the Client is ordered to discontinue use immediately. Thereafter, the relationship between Client and Render Pro shall cease and be of no further force and effect between the parties, except for any ongoing obligation owed by Client to Render Pro.

  1. Intellectual Property Rights

Unless otherwise indicated, the Website and all content therein, including renderings, graphics, and textual materials (collectively, the “Content”), are the property of Render Pro. The Content is protected by copyright and trademark laws of the United States and international conventions. Except as expressly permitted, no part of the Website and no Content may be copied, reproduced, or exploited for commercial purposes without Render Pro’s express prior written permission. Render Pro reserves all rights in the Website and Content.

  1. Ownership of Materials

Render Pro acknowledges that all renderings and original source files created for the Client (“Projects”) belong to the Client. Render Pro assigns all interests in the Projects to the Client, ensuring the Client is the sole copyright owner. The Client warrants that materials provided to Render Pro are owned by the Client and do not infringe upon third-party rights.

  1. Third-Party Fonts

Should a Project incorporate Third-Party Fonts requiring a commercial license, Render Pro will inform the Client and provide necessary details for license acquisition. The Client assumes responsibility for purchasing required licenses.

  1. User Representations

By using the Website, the Client represents and warrants legal capacity and compliance with these Terms of Use, confirming they are not a minor, will not use automated means for accessing the Website, and will not engage in any illegal or unauthorized use of the Website.

  1. Prohibited Activities

The Client agrees to use the Website solely for purposes related to Render Pro’s services and refrains from unauthorized use, data retrieval for database creation, security feature interference, unauthorized framing or linking, and other prohibited activities as detailed in this section.

  1. Client Feedback

Render Pro owns any feedback or submissions by the Client, with the right to use them for lawful purposes without obligation to the Client. The Client waives any claims against Render Pro for using such feedback.

  1. Management and Oversight

Render Pro reserves the right to monitor the Website and take legal action for any violations. Access to the Website may be restricted or denied at Render Pro’s discretion.

  1. Privacy Policy

The Client agrees to Render Pro’s Privacy Policy. The Website is hosted in the United States, and continued use by international clients constitutes consent to data transfer and processing in the U.S.

  1. Returns and Refunds

Render Pro’s refund policy is discretionary. Materials produced remain Render Pro’s property if a refund is granted within the first month of use.

  1. Modification

Render Pro reserves the right to modify content on the Website at its discretion.

  1. Connection Interruptions

Render Pro is not liable for Website access interruptions or data loss.

  1. Governing Law

These Terms of Use shall be governed by Idaho law.

  1. Litigation

Legal actions shall be brought in Idaho courts.

Render Pro reserves the right to share work publicly unless otherwise agreed upon.
